To confirm this commitment and create their RESELLIFY account, please accept the General Terms and Conditions when requested to do so during the registration procedure. Each User must also read the Privacy Policy.

1 SITE AND RESELLIFY SERVICES

1.1. Welcome to the site. Please read these General Terms and Conditions and the Catalogue Rules carefully. These establish the terms and conditions under which you can use the Site. If you accept these General Terms and Conditions, you can use our Site as a User, and you will have the opportunity to be both a Buyer and a Seller of Items on the Site. If you do not accept these General Terms and Conditions, you are not authorised to use the Site. The platform is aimed at three types of users:

Furthermore, it is fully responsible for the Services it provides, within the limits of its commitments and under the conditions provided for in these General Terms and Conditions.

1.3. Who cannot use the site. The Site is not intended for use by persons under 18 years of age. If the user is a parent or guardian of a person under 18 years of age, they can create an account and accept these General Terms and Conditions on behalf of the minor, but in doing so, they assume full responsibility for the minor's use of the Site and acknowledge that the Site is intended for persons who are at least 18 years old.

1.4. Visitors. If you are a Visitor to the Site, you can search and view the Items in the Catalogue and other Content provided by Users, as well as the News and other information published on the Site. However, you will not be considered a User and you will not be able to use the Services. These General Terms and Conditions may, however, have informative value for you.

1.5. Creating an Account. To purchase or sell Items on the Site, as well as to use the Services, you must first register on the Site and create a User Account. When registering on the Site, the user undertakes to provide truthful, accurate, up-to-date and complete information. It is important that the User always keeps and updates their Account information promptly to keep it always current and complete. Through the registration process, Users will be asked to provide directly in the registration form an email address and a password to allow the Site to identify them each time they access the Site. We will use such data for the purposes and in the manner described in the (Privacy Policy). To protect the User Account and ensure the security of other Users, RESELLIFY may from time to time verify the information included in the User Account or ask the User to answer relevant questions, provide useful information or assist with verification procedures (the "Security Procedures"). The Security Procedures are designed to confirm that the user is the person accessing and/or making transactions from their User Account. These will be reasonable and proportionate to the security objectives pursued. As part of the Security Procedures, RESELLIFY may verify the User's phone number, email, credit card, debit card or other payment method, or bank account.

1.6. Third-party terms and conditions. Some functions of the Site use tools and services provided by third parties, which may be governed by separate terms and conditions. When third-party tools and services are governed by separate terms and conditions, the Site will provide a link to the applicable terms and conditions. These will be made available to the User in a format that allows them to be reproduced and stored within the relevant third-party services and must be accepted separately if you wish to use these third-party services.

1.7. Changes to these General Terms and Conditions. Except as provided in Section 1.10 below, any changes to these General Terms and Conditions will be subject to the User's prior approval. If the User does not accept the General Terms and Conditions after 30 days from the date of notification of any changes, RESELLIFY reserves the right to limit the User's ability to use the Site until acceptance of the updated General Terms and Conditions.

1.8. Unilateral changes to these General Terms and Conditions. RESELLIFY may unilaterally modify these General Terms and Conditions for justified reasons and for the purpose of:

  • adapting the General Terms and Conditions to legislative or regulatory provisions in force or being adopted.

  • adapting the General Terms and Conditions to any decision issued by a court, consumer agency or any other competent authority, which concerns the content of the Site or the Services offered by it;

  • preventing abuse or damage or for security reasons;

  • reflecting changes to our Services pursuant to Section 10;

  • reflecting changes and developments in the way RESELLIFY manages the business;

  • reflecting changes in market conditions or standard industry practices.

  • making formal changes to these General Terms and Conditions (for example to correct grammatical or spelling errors), to the extent that such changes do not alter the content or meaning of these General Terms and Conditions.

If RESELLIFY makes any of the changes listed above, RESELLIFY will inform Users of the changes to the General Terms and Conditions 30 days before the effective date of the changes, unless:

  1. RESELLIFY is legally obliged to make the changes immediately or within a shorter period;

  2. the changes are made in accordance with Section 1.8(g) above, in which case they will take effect immediately; or

  3. the changes are made in accordance with Section 1.12 below, in which case RESELLIFY will inform Users of the varied General Terms and Conditions 15 days before the effective date of the changes.

From the effective date, the User may continue to use the RESELLIFY Services in accordance with the modified terms. Changes will not apply retroactively and will not affect Transactions previously made on the Site. Such changes will not worsen the quality or alter the characteristics of the Services provided to the User in consideration of a price already paid to RESELLIFY. Similarly, changes cannot increase the fees that the User has already paid for Purchase Protection applied to previous Transactions.

If the User is not satisfied with the proposed changes, they can terminate their relationship with RESELLIFY at any time, free of charge. In such case, RESELLIFY will continue to fulfil its obligations in relation to any ongoing Transaction that the User has already made on RESELLIFY.

1.9. Any changes to these General Terms and Conditions published on the Site will apply immediately to those Users who complete the online registration process after the publication of such changes on the Site.

1.10. We may add new Services, features and functionality to our Services, without decreasing the quality or altering to the detriment of the User the characteristics (I) of the Services provided to the User in consideration of a price already paid to RESELLIFY, (II) of the Hosting Services offered to the User in relation to the advertisements and Content already published on the Site.

2 ITEMS ON THE SITE

2.1 Allowed Items. Only Items that meet all the following conditions can be listed on the Site:

  • The Item must belong to one of the categories listed in the Allowed Items section in the Catalogue Rules;

  • The Seller must have the right to transfer ownership of the Item;

  • The Seller must not offer for resale items purchased in bulk or items sold as so-called dropshipping products with a low resale value;

  • The sale, use or possession of the Item must not violate third-party rights (including intellectual property rights) and must not violate any applicable local, national or international law or regulation. The Item must be safe and cannot be counterfeit;

  • The Item must comply with all requirements and be original;

  • The Item must comply with all requirements commonly applied in the market, unless there is a contrary agreement between the Buyer and the Seller; and

  • Items must respect the list of prohibited and restricted products and services of the Payment Service Provider (if applicable, the link to such list will be provided here).

2.2 Uploading a Listing. To list an Item in the Catalogue, the Seller must comply with all the Catalogue Rules. The Seller must complete the questionnaire, which includes selecting a category that best represents the Item and uploading at least one (or more, if necessary, depending on the Item) high-quality photograph. Sellers cannot use photographs found on the Internet and/or photos of a similar Item. The description and photographs of the Item must reflect the actual quality and external appearance of the Item, as well as any defects or alterations that concern the Item.

2.3 Sale Offer. When a Seller lists an Item in the Catalogue and the listing is published on the Site, this constitutes a sale offer for the relevant Item by the Seller, which can be accepted by a Buyer.

2.4 Modifying a Listing. The Seller who uploaded the Item can remove it or modify its price at any time, before entering into a contract with a User for the sale of the Item in question.

2.5 Description of the main parameters that determine the order in which advertisements are presented. The advertisements presented in the default search results of the Buyer's Catalogue are ordered by "relevance".

The purpose of these main parameters that determine the position of advertisements is to provide the best search experience for Buyers. With these parameters, RESELLIFY ensures that the advertisements presented higher up reflect as much as possible the User's search expectations.

2.6 Default order. When Buyers search for an Item, advertisements are automatically ordered by "relevance". Alternatively, in the Catalogue, Buyers can also choose to order advertisements by price or date. If Buyers choose to order advertisements by price and date, the preferences indicated in their Account will still be taken into consideration to define the order.

2.7 Content Removal. RESELLIFY, after being duly informed, pursuant to Section 7.4 below, or after being informed by the competent Authorities, will immediately remove any illegal Content. RESELLIFY may also use automated software and algorithms to identify and immediately delete or remove from the Site, without notice, any Item or Content that:

  • is manifestly illegal or contrary to applicable regulations (for example, counterfeit Items);

  • is contrary to morality or public safety;

  • is listed or published by a Seller as part of a professional commercial activity, in violation of the Catalogue Rules; or

  • otherwise violates these General Terms and Conditions, the provisions of the Catalogue Rules or the Forum Rules.

The interested User can contest RESELLIFY's decision as described in the subsequent Section 8.6.

The use by RESELLIFY of the above-mentioned automated software is not to be understood as a commitment to monitor, or as an obligation to actively search for illegal activities and or Content published on the Site and, to the extent permitted by applicable law, does not give rise to any liability for RESELLIFY.

3 SALES ON THE SITE

3.1. Users can put Items up for sale on the Site using the "Put up for sale" button.

3.1.1 Agreement between the Buyer and the Seller. Both the Buyer and the Seller acknowledge that the completion of the checkout process by the Buyer creates a legally binding agreement between the Buyer and the Seller based on

  • the description and photographs of the Item,

  • the conditions agreed between the Buyer and the Seller and

  • the relevant conditions included in these General Terms and Conditions.

The Buyer undertakes to pay for the Item and the Seller undertakes to transfer ownership of the Item. For the avoidance of doubt, RESELLIFY is not a party to this agreement.

3.2. Transactions: Transactions take place with a sort of intermediation carried out by Resellify between seller and buyer. Resellify takes on the task of putting up for sale the items uploaded by users/sellers on various marketplaces, and when an item is sold, Resellify will settle the seller, through a bank transfer, retaining, in successful transactions, the fee or percentage that it is entitled to as an intermediary.

3.4. Shipment Tracking System. RESELLIFY offers an online tracking system that reflects exclusively the tracking information provided by the courier responsible for the package. Consequently, to the extent permitted by applicable laws, RESELLIFY disclaims any responsibility in the event that the integrated courier provides inaccurate, incomplete or outdated tracking information.

4 PAYMENT METHODS

4.1 After pressing the Buy button, you can choose the payment method for your order. The available payment methods are:

  • Valid credit/debit cards

  • Apple Pay

  • Google Pay

  • PayPal

4.1.1. Payments must be made through payment methods authorised by the Platform. The Platform may retain a commission on each transaction, as specified in the applicable fees.

4.1.2. RESELLIFY's refund policy, which allows the Buyer to request a refund for Items that are lost, damaged or significantly different from those described. For more details on the refund policy, please consult section 4.5;

4.1.3 RESELLIFY's customer service, which can assist

  • in case of problems related to the Transaction, having access to the Transaction details and assisting Users in relation to the Transaction, and

  • in case of problems related to delivery, having access to the delivery status and tracking details, and acting as an intermediary with the integrated couriers.

4.2. It is not insurance. Secure Payment is not insurance or a legal protection service. Secure Payment is a service offered by RESELLIFY. It does not replace the Buyer's legal rights or guarantees, which can be exercised in addition to and independently of Secure Payment.

4.3 Procedure for Receiving a Refund under Secure Payment. Secure Payment includes the right for Buyers to obtain a refund if an Item is lost or damaged during shipping or if the Item is significantly different from what was described, provided that the following process is followed:

  1. 4.3.1. Claim Submission Period.
    The Buyer must report the problem to RESELLIFY by clicking the "I have a Problem" button in the Private Message window and completing the problem reporting process within two (2) days from when the Buyer is informed by RESELLIFY:

    1. (i) that the Item should have been delivered; or

    2. (ii) that the package appears to have been lost

  2. (such 2-day period is called the "Claim Submission Period"). This will suspend the Transaction and the Total Price will be held in escrow until the problem is resolved. If the Buyer does not report the problem within the Claim Submission Period, the Transaction will be completed. In this case, the purchase price of the Item and shipping costs (only if a shipping option other than Integrated Shipping (Prepaid Shipping Labels) was used) held in escrow will be released to the Seller.

  3. 4.3.2. Items Lost or Damaged during Transport.
    If the Buyer does not receive the Item or if the Item was damaged during transport, the Buyer must inform RESELLIFY within the Claim Submission Period. Once the Item has been classified as lost or damaged during transport, the Buyer will be transferred the refund of the Total Price on RESELLIFY. In case of dispute regarding the loss or damage of an Item during transport, the information provided by the courier will be considered accurate, unless the User provides RESELLIFY with proof to the contrary.

  4. 4.3.3. Items significantly not conforming to the description.
    Items must conform to the description and photographs provided by the Seller in the Item listing. If the Item received by the Buyer does not conform to the description and photographs provided by the Seller, it will be considered as "Significantly not conforming to the description". This includes the following differences between the received Item and the Item description/photographs: incorrect dimensions, wrong colours, counterfeit Items, serious damage to the Item (stains, odours, holes), incorrect conditions, wrong Items or missing Items in sets. Conversely, an Item will not be considered significantly different from what was described if the Item is not the right size (but the size was correctly indicated in the listing), or the differences between the received Item and the Item description and photographs include only minor and negligible differences that do not affect the use and appearance of the Item according to the Buyer's legitimate expectations based on the Item description and photographs. If the Buyer believes that the received Item is significantly different from what was described, the Buyer must report the problem to RESELLIFY within the Claim Submission Period and follow the following process:

    1. 4.3.3.1 If the Seller chooses to transfer the refund to the Buyer, the Transaction will be cancelled and the Buyer will receive the refund of the Total Price.

    2. 4.3.3.2 If the Seller requests the return of the item by completing the return request submission process, the Buyer will have to choose the shipping method for the return and ship the item back to the Seller within 5 days. The Buyer must pay for the return of the Item, unless otherwise agreed with the Seller. If the Buyer chooses to return the Item purchased on RESELLIFY using an integrated return shipping label, the Buyer must use the automatically generated prepaid shipping label to return the Item. From the moment the Seller is informed by RESELLIFY that the package should have been delivered or appears to have been lost, the Seller will have two (2) days to confirm the absence or report the presence of a problem related to the Item:

      1. a) If the Seller reports a problem related to the returned Item by contacting customer service, RESELLIFY's customer service will examine the problem and make a final decision.

      2. b) If the Seller confirms the absence of problems in relation to the Item or if they do not act within 2 (two) days from the moment the Seller is informed by RESELLIFY that the package should have been delivered or appears to have been lost, the Transaction will be cancelled and the Buyer will be refunded the Total Price.

    3. 4.3.3.3 a) if a User submits the problem to RESELLIFY's customer service or if the Seller does not take any of the actions identified in points 4.3.3.1 and 4.3.3.2 above within 14 days from the Buyer's reporting of the problem, the problem will be resolved by RESELLIFY's customer service. RESELLIFY's customer service will determine whether the Item is significantly different from what was described by evaluating the information/evidence provided by the Buyer and the Seller and may request additional information from Users.

      1. b) If RESELLIFY determines that the Item is significantly different from what was described, the Seller will have 2 (two) days to take one of the actions described in points 4.3.3.1 or 4.3.3.2 above. If the Seller does not take any of the actions within 2 (two) days, the Transaction will be cancelled and the Buyer will be refunded the Total Price. If RESELLIFY determines that the Item is not significantly different from what was described, the Transaction will be completed and the purchase price of the Item, together with shipping costs (only if a shipping option other than Integrated Shipping (Prepaid Shipping Labels) was used), will be paid to the Seller.

    4. 4.3.3.4 In cases where the Transaction is cancelled without the return of the Item based on the rules above, Users can continue to communicate directly and independently about the return of the Item and RESELLIFY will no longer provide assistance/mediation.

    5. 4.3.3.5 Counterfeiting. In the particular case where the Buyer claims that the Item is counterfeit, RESELLIFY will ask both the Buyer and the Seller to provide information in support of their position within 24 hours of the relevant communication being sent by RESELLIFY. RESELLIFY, if it deems it necessary, may request additional information from the Buyer and/or the Seller. Based on all relevant information available to RESELLIFY, RESELLIFY will decide case by case and both the Buyer and the Seller undertake to respect such decisions made by RESELLIFY:

      1. (a) If there are no reasons to doubt the authenticity of the Item, the Transaction will be completed and the purchase price of the Item, together with shipping costs (only if a shipping option other than Integrated Shipping (Prepaid Shipping Labels) was used), will be transferred to the Seller;

      2. (b) If there is insufficient information that allows RESELLIFY to determine whether the Item is counterfeit, the Buyer and the Seller will be informed that the case is considered ambiguous and the Buyer will be invited to return the Item to the Seller. The same process described in sections 4.3.3.3 b) and 4.3.3.4 above will apply;

      3. (c) If there are strong, objective and concrete indications that the received Item is counterfeit, the Transaction will be cancelled and the Buyer may obtain a refund without having to ship the Item back to the Seller.

  5. 4.3.4. No refund.
    The Buyer will not be entitled to a refund under Secure Payment and the purchase price of the Item, together with shipping costs (only if a shipping option other than Integrated Shipping (Prepaid Shipping Labels) was used), will be transferred to the Seller if:

    1. (i) based on the process described in the previous Section 4.3.3, RESELLIFY determines that the Item is not "significantly not conforming to the description";

    2. (ii) the Buyer does not report the problem to RESELLIFY within the Claim Submission Period, as described in the previous Section 4.3.1;

    3. (iii) the Item has been tampered with, washed, used, tested or modified in any way by the Buyer; or

    4. (iv) the Buyer has already confirmed that the Item meets their expectations by clicking the "Everything is fine" button in the Buyer's private message with the Seller;

    5. (v) the Buyer has not provided sufficient evidence within the deadline set by RESELLIFY's customer service to demonstrate that the Item was damaged during transport (sufficient evidence deemed necessary by each courier in their respective Terms and Conditions).

  6. 4.4 Return of Items from a Set.
    If the Item to be returned was purchased simultaneously with other Items from the same Seller (as part of a "Package"), then the Buyer will have to return all Items in the Package and will receive a refund for all Items in the Package.

  7. 4.5 Recognition of RESELLIFY's role in issuing refunds under Secure Payment.
    Users agree to respect the procedure described for receiving a refund under the Secure Payment service and to collaborate with RESELLIFY to allow the latter to make decisions on any problem related to Secure Payment based on the objective criteria established in these General Terms and Conditions. If Users resolve the issue between themselves after it has already been brought to the attention of RESELLIFY's Customer Service, Users undertake to inform RESELLIFY's Customer Service of such outcome.

5 CANCELLATION OF AN ORDER

An order can be cancelled (by the buyer or the seller) only if an item has not yet been shipped.

To cancel an order:

  1. Choose Cancel order and select a reason from the list, or choose Other and provide more details.

  2. The user who sells might have to confirm the cancellation if they have already sent the order, but the tracking information has not yet been updated. If the user does not confirm it, wait for the order to be automatically cancelled.

  3. If you cancel an order manually, you might receive an automatic negative review. To avoid it, inform the other user before cancelling the order and reach an agreement. This way the user will be able to modify or remove the review.

6 PAYMENT OF AN ITEM/OBJECT

6.1 Secure payments through the Integrated Payment System. RESELLIFY enters into a contract with the Payment Service Provider to process payments made through the Integrated Payment System and to store information relating to credit cards, debit cards and any other payment method offered on the Site. To use the Integrated Payment System, the User will enter into a contract directly with the Payment Service Provider, and the User will accept the terms and conditions of the Payment Service Provider.

Payment of the Total Price can be made by credit or debit card or with any other payment method that may be inserted from time to time on the Site. If it is suspected that a User has provided a credit or debit card or another payment method belonging to a third party on the Site, the User may be required to provide additional proof that a credit or debit card or another payment method actually belongs to the User (the same applies to payment of Additional Services, as described in Section 2.7.2). The Total Price is held in an escrow account managed by the Payment Service Provider. Once a Transaction is initiated, the Payment Service Provider acquires the money from the Buyer on behalf of the Seller and holds such amount in escrow for payment. RESELLIFY supports its Users in the use of services provided by the Payment Service Provider and provides direct assistance to Users for such services; however, for the avoidance of doubt, RESELLIFY does not provide any payment processing service to Users. Users are solely responsible for providing accurate information associated with credit cards, debit cards and any other payment method offered on the Site and RESELLIFY disclaims any responsibility for the information provided by the User to the maximum extent permitted by applicable law.

6.2 Completion of a Transaction. The Total Price paid by the Buyer will be held by the Payment Service Provider in an escrow account until the Transaction is completed. The Transaction is completed:

  1. (i) when the Buyer clicks "Everything is fine" during the Claim Submission Period; or

  2. (ii) automatically after the expiration of the Claim Submission Period, if the Buyer does not report a problem through the "I have a problem" reporting procedure during the Claim Submission Period; or

  3. (iii) after the resolution of a problem that was reported during the Claim Submission Period.

Once the Transaction is completed, the purchase price of the Item and shipping costs will be immediately transferred to the Seller by the Payment Service Provider. However, for the first payment, the User must provide their bank account details.

6.3. Currency; Taxes. All prices on the Site are expressed in various currencies, which are chosen by the user at the time of registration in the Settings section.

7 SHIPPING OF ITEMS AND REFUND TO SELLER

7.1 Shipping Options. RESELLIFY does not provide transport services. The shipping options that may be available are described here. RESELLIFY may, at any time, add, suspend or remove couriers from the list of choices available to Users. Sellers and Buyers can access the terms and conditions of the couriers here, for buyers, and here, for sellers. Users are responsible for reviewing and accepting the terms and conditions of the courier they select. The Buyer will choose a shipping option during the Payment process and the Seller must use such shipping option chosen by the Buyer, otherwise the Transaction will be cancelled.

7.1.2 For any other shipping option that may be available, the Seller may be entitled to a refund for a lost or damaged Item up to the compensation limit established by each courier or, in accordance with the terms and conditions of that courier. The Seller's refund will be supported and managed directly by the courier and the Seller will have to follow the courier's procedures.

7.2 Payment of Shipping Costs. Shipping Costs are paid by the Buyer, in addition to the price of the Item. The applicable Shipping Costs will be clearly indicated to the Buyer before any purchase. They may vary from one order to another, depending on factors such as package size, shipping route, courier and any discounts.

7.3 Shipping Commitment. As soon as the Total Price has been paid by the Buyer, RESELLIFY will inform the Seller that they must ship the Item to the Buyer within five (5) working days. If the Seller does not ship the Item within this period, RESELLIFY may cancel the Transaction and order the Payment Service Provider to transfer the Total Price held in escrow to the Buyer. The Seller is responsible for the correct packaging of the Items.

However, despite adopting adequate measures and compliant with legal requirements, RESELLIFY's systems could still be compromised by unpredictable events such as cyber attacks or security breaches that affect data transmission or that impact the volume and speed of data transmission. 9.5 The User undertakes to keep confidential the access data and password of their Account and not to disclose their access data or password to third parties (except for persons that the User authorises to use their access data and password). The User is solely responsible (towards RESELLIFY and others) for all activities that take place within the User's Account. 10.1. Limitation and Blocking of User Accounts. In order to offer a safe environment to Users who use the Site, RESELLIFY may, also through the use of automated software and/or algorithms:

  • Limit the use of the Account by a User. Users whose Account use has been limited i) are prevented from using or accessing some of the Site's functionalities, such as the possibility of putting Items up for sale, making Transactions, transferring the sums contained in their RESELLIFY electronic wallet, sending private messages to other Users, seeing the Items put up for sale by all other Users or ii) will enjoy reduced visibility for their Items in the search results pages; and/or

  • Temporarily or permanently block a User's Account. Users whose Accounts are blocked are no longer authorised to access the Site. Where possible, they will be able to complete pending Transactions and transfer the sums present in their RESELLIFY Balance to their bank account, provided that Users have completed the relevant KYC checks (if required). If RESELLIFY blocks a User's Account, it may prevent such User from registering again on the Site.

RESELLIFY undertakes to adopt limitation or blocking measures i) that take into account the reasonable interests of Users, ii) proportionate to the circumstances and, specifically, to the violation(s) committed by the User. Violations committed by Users will result in the temporary blocking or limitation of their Account, except where i) the User whose Account has already been temporarily blocked and/or limited does not refrain from further inappropriate behaviour, or ii) such violations are serious or repeated, in which case the User's Account will be permanently blocked.

10.2. Blocking with Notice. RESELLIFY may limit and/or block a User's Account, after having informed them in writing and having respected a reasonable notice period, if such User:

  • Violates these General Terms and Conditions or the Catalogue Rules;

  • Provides or publishes, at the time of registration on the Site or during the use of the Site, false, misleading, outdated and/or incomplete information according to what is provided for in these General Terms and Conditions, or does not keep such information updated;

  • Makes improper use of the functionalities provided by the Site or uses them in bad faith, for example making improper use of the possibility to report Content or to appeal RESELLIFY's decisions regarding the limitation of Site use, Account blocks or Content removal.

10.3. Immediate blocking. Notwithstanding the above, RESELLIFY may limit and/or block the User's Account with immediate effect and without notice or warning in one of the following cases:

  • User account reported by the Payment Service Provider. The Payment Service Provider may report to RESELLIFY any User Account if it has serious reasons to suspect that, in using the payment services provided by the Payment Service Provider, such User has violated applicable laws and/or the terms and conditions of the Payment Service Provider, and/or has made improper use of the Site (including illegal sales on the Site, money laundering, fraud, identity theft, use of false documents).

  • Dispute relating to a payment initiated by the User through an external payment service provider. If a User initiates a dispute resolution procedure in relation to a Transaction through an external payment service provider and there are objective and legitimate reasons to believe that, in such context, the User has violated applicable regulations, these General Terms and Conditions and/or has made improper use of the Site, RESELLIFY may immediately limit and/or block the User's Account (including the suspension and/or cancellation of ongoing transactions).

  • Violation of applicable regulations, public safety or User safety. The User's use of the Services or the Content published by the User manifestly violates any law, regulation or public safety standard or may have serious consequences for the health, safety or legitimate economic interests of RESELLIFY and other Users, or third parties. For example:

  • The User has uploaded Content to the Site that justifies crimes against humanity, incites racial hatred and/or violence or concerns child pornography;

  • The User is unduly appropriating the identity of another User or third parties;

  • There are well-founded and objective reasons to suspect that fraud of any kind has been committed or may be committed by a User, or that a User is improperly using the platform in a way that endangers the safety of other Users or the safety of the platform, such as, by way of non-exhaustive example, access from suspicious IP addresses, fraud or spamming towards other Users. RESELLIFY undertakes to diligently conduct its investigations into fraud and to promptly and seriously examine any report it should receive from the suspected User.

  • Regulatory obligation or imperative reasons of law, in the case where compliance with a notice period would be in violation of a law, regulation or order of an authority responsible for law enforcement, or from which RESELLIFY's or its affiliates' liability could otherwise arise.

  • Cybersecurity risk. There is a risk to the security and technical operation of RESELLIFY's computer system.

  • Repeated or Serious Violations, where the User has committed repeated violations of these General Terms and Conditions or the Catalogue Rules.

10.4. Notification. In the circumstances referred to in Sections 9.1 to 9.3 above, RESELLIFY will provide the User with written notification that illustrates the reasons for the limitation or blocking of their Account, unless this involves:

  • A violation of any law, regulation or directive of a competent authority, or the risk that RESELLIFY's or its affiliates' liability would otherwise arise;

  • The interruption of an investigation conducted for fraud; or

  • The facilitation of the continuation or repetition of fraud, violation of applicable laws or a serious violation of these General Terms and Conditions and/or the terms and conditions of the Payment Service Provider.

10.5. RESELLIFY may investigate any violation of these General Terms and Conditions and, in compliance with applicable laws, such as data protection laws, inform competent institutions and authorities.

10.6. Appeal. In the event that RESELLIFY exercises its rights pursuant to this Section 10 and Section 2.8 above, the interested User may contest RESELLIFY's decision through the contact form.

11 RESELLIFY'S RIGHTS AND OBLIGATIONS

11.1 RESELLIFY may, at any time, reorganise the Catalogue, advertising spaces or other information about the Items, provided that such changes do not modify the Content provided by the User, in order to make the Site easier to use. Such changes will not disadvantage Sellers and will not limit RESELLIFY's obligations pursuant to these General Terms and Conditions.

11.2 RESELLIFY may, at any time, publish News or other communications relating to short and long-term offers on the Site, competitions, campaigns, games or promotions or otherwise propose special, time-limited or exclusive offers to some or all Users, in compliance with national laws (collectively - "Promotions"). Special conditions may apply. Some features or functionalities of the Site may be temporarily modified or disabled during or in relation to a Promotion. RESELLIFY reserves the right to discontinue any Promotion at any time, without notice to Users. Promotions may be subject to specific eligibility requirements, determined by RESELLIFY. Information relating to Promotions may be provided on the Site on the occasion of the launch of such Promotions and, where they constitute a binding contract between the User and RESELLIFY, the User will have the possibility to separately accept such conditions, which will be made available in a format that allows their storage and reproduction. In case of conflict between these General Terms and Conditions and the special conditions published on the Site applicable to Promotions, the latter will be considered specific conditions applicable to the Promotion in question and will consequently prevail exclusively in relation to the context of the Promotion.

11.3. RESELLIFY may at any time terminate or suspend or transfer to third parties the management of the Site, after communicating to the Site's Users, respecting a notice period of thirty (30) days.

11.4. Item verification for branded items. The Item verification service is specifically designed for certain categories of branded item listings. This means that now on Resellify it is possible to purchase and sell some items that fall into a higher price range in an even safer way!

The Item verification service is an optional paid service to verify the authenticity of some selected branded items. The service is purchased and paid for by the buyer and is free for the seller. If an item is purchased with the verification service, our team of experts will verify its authenticity.

Please note that the verification service can only be used when purchasing an item. Sellers cannot purchase the service for their own items.

After selecting a listing eligible for verification, the user will see a diamond symbol. If the buyer purchases an item choosing to use this service, the seller will receive a notification about it. When an item becomes eligible for verification, the seller cannot remove the verification option from the listing.

The cost of the service for any item is ____€. The buyer will see the price on the item page. The cost includes the verification service and the costs to ship the item from the seller to the verification centre. Shipping from the verification centre to the buyer is included in the standard shipping costs that the buyer sees at the time of payment.

With the verification service, delivery of a package from seller to buyer takes up to 10 working days from when the seller ships the item. The two users can track the package to know where it is (even when it is in our verification centre). Delivery may take longer if there are delays or if the package is damaged while in transit.

If the item does not pass verification, we will ship it back to the seller and the user will no longer be able to put it up for sale again. The buyer will receive a complete refund for the entire purchase (including service costs, Purchase Protection and shipping costs) within 1-2 working days from when the item is returned to the seller.

We adopt a zero-tolerance policy towards non-original items. If the seller repeatedly ignores our policy and puts counterfeit items up for sale, we will be forced to permanently block their account.

12 PERSONAL DATA PROTECTION

12.1 The Privacy Policy, available at the link, describes the personal data of Users collected by RESELLIFY and the purposes for which RESELLIFY processes such data. The Privacy Policy and each part of it do not constitute contractual clauses and are not integrated into these General Terms and Conditions.

12.2 The User is generally required to provide RESELLIFY with only accurate data. When data relating to the User changes (for example, address or surname), the User must notify of such changes without undue delay, by modifying the information in their account.

12.3 When the User carries out the processing of personal data independently and separately from RESELLIFY, they are responsible for ensuring compliance with applicable data protection laws (in particular, the General Data Protection Regulation).

13 APPLICABLE LAW, DISPUTE RESOLUTION, WITHDRAWAL AND TERMINATION

13.1 These General Terms and Conditions are governed by the national law of each User. The User has the right to bring any disputes before local courts, based on their place of residence or domicile.

13.2 In case of disagreement between RESELLIFY and the User, RESELLIFY encourages Users to contact RESELLIFY, first of all, to reach an amicable resolution. The User can:

  • contact RESELLIFY through the contact form;

  • send an email to legal@RESELLIFY.it;

  • send written communication that illustrates in detail the facts in question to the following address: RESELLIFY Via Bagutta 13 - 20121 Milano.

If the User and RESELLIFY are unable to reach an amicable resolution, the User may bring the dispute before the competent courts in their place of residence or domicile.

13.3 The User may withdraw from the contractual relationship with RESELLIFY at any time with immediate effect, but will still be required to fulfil all their obligations arising from the Transactions that the User has made before the effectiveness of the withdrawal. The User may withdraw from the contractual relationship with RESELLIFY by cancelling their Account or by sending an email to legal@RESELLIFY.it.

13.4 RESELLIFY, other companies in the group and their respective license providers are the owners of all rights, especially the intellectual property rights relating to the Site, namely in particular to its system (the algorithms that allow the functioning of the Catalogue, its transmission, etc.), to the layout and design of the Site, to the software used by and for the Site, to the trademarks and domain names used by and for the Site.

13.5 The sending of information or data, in particular photographs on the Site, or of other materials defined as "Content" in Section 8.1 above, involves the granting, by the Users of the Site or the Services, to RESELLIFY and to any company belonging to the RESELLIFY Group, free of charge, of a non-exclusive licence for the use of the Content worldwide, which applies for the duration of any applicable rights (and their potential extensions). Such licence includes the right to use, copy, reproduce, display and adapt the Content. RESELLIFY may use such Content, on any media known or unknown to date and in particular TV, paper, Internet (in banners and articles, on other websites) and social networks (Facebook, Twitter, Instagram, etc.), for operational, commercial, advertising and internal purposes of the RESELLIFY Group, which the User accepts. The User is solely responsible for the Content and confirms that they are the owner of all rights to it.

13.6 All notifications, requests and other information exchanged between the User and RESELLIFY will be sent as indicated in the General Terms and Conditions through the contact form that appears on the Site, and/or to/from the User via email, to the email address provided at the time of registration to the Site.

13.7 These General Terms and Conditions do not have the effect of creating a partnership (regardless of its legal form) between RESELLIFY and Users, nor relationships falling within the scope of employment law, nor configurable as relationships between a commercial agent and the latter's client, nor a franchising relationship.

13.8 RESELLIFY may, subject to applicable data protection laws, transfer and/or assign to third parties all rights and obligations provided for by these General Terms and Conditions, in particular in the case of transfer of a business sector, merger by the constitution of a new company, merger by incorporation, demerger or any change of control concerning RESELLIFY, provided that this does not reduce the protection of consumer rights. Such transfer releases RESELLIFY from all obligations as manager of the Site, in particular towards its Users and Visitors for the future. In the event that RESELLIFY transfers and/or assigns such rights and obligations pursuant to these General Terms and Conditions to third parties, RESELLIFY will inform Users of such transfer and/or assignment with 15 days' notice and the User has the right to immediately withdraw from their contractual relationship with RESELLIFY and to close their RESELLIFY Account. Users cannot transfer or assign one or all of their rights or obligations arising from these General Terms and Conditions.

13.9 The User may express objections regarding access, use or operation of the Site or Services by sending a report at any time. Reports must be sent to RESELLIFY using the form that appears on the Site or via written communication addressed to RESELLIFY, Via Bagutta 13, 20121 Milan, Italy. Please contact RESELLIFY at this address for all legal requests: legal@RESELLIFY.it.

13.10 If a clause or part of the clauses contained in these General Terms and Conditions is judged by any competent authority to be invalid, illegal or inapplicable to any extent, such clause will be separated to such extent from the remaining clauses, which will continue to be valid and applicable to the maximum extent permitted by law.

13.11 These General Terms and Conditions and all documents referred to in these General Terms and Conditions constitute the entire agreement between RESELLIFY and the User and replace and revoke any previous agreement, promise, assurance, guarantee, declaration and understanding between RESELLIFY and the User, both written and verbal, relating to its subject matter. RESELLIFY and the User agree that they have not stipulated these General Terms and Conditions based on statements, assurances or guarantees (expressed in good faith or negligently) not described in these General Terms and Conditions or in documents referred to therein. To the extent permitted by applicable laws, neither RESELLIFY nor the User may make claims for false statements made in good faith or negligently based on statements in these General Terms and Conditions or in documents referred to therein.

14 ACCEPTANCE OF TERMS
